Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProjexHQ (the "Service"), operated by Madlan LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

ProjexHQ is a project, program, and portfolio management platform. We may add, change, or remove features over time to improve the Service. We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation.

2. Accounts and eligibility

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

3. Free trial

We offer a 14-day free trial that does not require a credit card. At the end of the trial, continued use requires a paid subscription. We may modify or discontinue trial offers at any time.

4. Subscriptions and billing

• Paid plans are billed in advance on a recurring basis (monthly or annually) according to the plan you select.
• Fees are based on the number of users or the plan tier in effect during the billing period.
• Unless otherwise required by law, payments are non-refundable, and partial-period charges are not prorated on cancellation.
• You can cancel at any time; your subscription remains active through the end of the current billing period, after which it will not renew.
• We may change our prices with reasonable advance notice, effective at your next renewal.

Purchases made through the Apple App Store are billed by Apple and governed by Apple's terms; manage or cancel those subscriptions through your App Store account.

5. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, resell, or copy the Service except as permitted by law;
• upload malicious code or content that infringes the rights of others.

6. Your data

You retain ownership of the content and data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. We handle personal data as described in our Privacy Policy. You are responsible for ensuring you have the rights to the data you upload.

7. Intellectual property

The Service, including its software, design, and content we provide, is owned by Madlan LLC and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding except as needed to use the Service.

8. Third-party services

The Service may integrate with or link to third-party products. We are not responsible for third-party services, and your use of them is governed by their own terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Insights, recommendations, and reports generated by the Service are provided to assist you and do not replace your own professional judgment.

10. Limitation of liability

To the maximum extent permitted by law, Madlan LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. On termination, your right to use the Service ends; you may request an export of your Customer Data for a reasonable period beforehand, subject to our data-retention practices.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the United States and the state in which Madlan LLC is established, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in that jurisdiction.
